FundWisr™ Copyright, Trademark, and DMCA Policy
1. Purpose
This Copyright, Trademark, and DMCA Policy explains:
- ownership of the FundWisr platform and related intellectual property;
- how users may and may not use FundWisr content, software, frameworks, marks, and materials;
- user responsibilities for uploaded or generated content;
- how copyright owners may report allegedly infringing material;
- how affected users may submit a counter-notification;
- FundWisr's repeat-infringer policy;
- how trademark, brand, impersonation, and counterfeit concerns may be reported; and
- how FundWisr handles intellectual-property complaints.
This Policy supplements the FundWisr Terms of Service and Acceptable Use Policy.
2. FundWisr Ownership Structure
FundWisr™ is operated by Impctrs Management Group, LLC under license from Mzrik Innovations, LLC.
Unless otherwise stated in writing:
- Mzrik Innovations, LLC owns or controls FundWisr's platform intellectual property;
- Impctrs Management Group, LLC operates and commercializes the FundWisr service under license;
- AI Arkitech, LLC develops technology for FundWisr under applicable written agreements;
- customers retain the ownership rights described in the Terms of Service for Customer Content they lawfully submit;
- third-party content remains owned by its respective rights holder.

3. Protected FundWisr Materials
FundWisr materials may be protected by copyright, trademark, trade-secret, contract, database, unfair-competition, and other laws.
Protected materials may include:
- software source code and object code;
- application architecture;
- databases and database organization;
- user interfaces;
- design systems;
- written content;
- reports;
- templates;
- taxonomies;
- diagnostic questions;
- scoring systems;
- scoring weights;
- methodology documentation;
- proprietary frameworks;
- workflows;
- prompts and system instructions;
- model orchestration;
- retrieval logic;
- selection and arrangement of funding records;
- document-generation logic;
- charts and graphics;
- videos;
- audio;
- training materials;
- logos;
- names;
- slogans;
- icons;
- product names;
- service names;
- unpublished business and technical information;
- compilations and derivative works.
The absence of a copyright, trademark, or other notice does not mean that a material is unprotected or dedicated to the public.
4. Limited Permission to Use FundWisr
Subject to the Terms of Service, an authorized customer may use FundWisr for its permitted internal organizational purposes.
Unless FundWisr gives prior written permission, users may not:
- copy or republish substantial portions of FundWisr;
- sell, sublicense, distribute, or commercialize FundWisr content or methods;
- reproduce diagnostics or question banks outside the platform;
- publish proprietary scoring formulas or methodology details;
- create a competing database, platform, diagnostic, or service from FundWisr materials;
- remove copyright, trademark, confidentiality, or ownership notices;
- use FundWisr branding to imply endorsement, partnership, certification, or affiliation;
- scrape, crawl, harvest, extract, mirror, index, or bulk-download protected content;
- reverse engineer, decompile, disassemble, or attempt to discover nonpublic source code or logic, except where applicable law does not permit that restriction;
- train an external model on FundWisr's protected content without written permission;
- use screenshots or demonstrations in a misleading manner;
- copy a user interface or proprietary workflow in a manner that infringes or violates applicable rights;
- register or use confusingly similar domain names, usernames, company names, product names, or social-media accounts;
- use FundWisr marks in paid-search keywords, metadata, app names, products, or services without authorization;
- falsely state or imply that a document was created, verified, certified, approved, or endorsed by FundWisr.
5. Customer Content
Customers retain the rights they lawfully hold in Customer Content, subject to the licenses and other terms necessary for FundWisr to provide the service.
Customers are responsible for ensuring that they have the legal right to upload, submit, use, edit, generate from, share, publish, or distribute Customer Content.
A customer must not upload or use:
- copyrighted material without permission or another lawful basis;
- confidential documents obtained without authority;
- proprietary grant databases copied from another service;
- subscription-only publications obtained in violation of access restrictions;
- logos, photographs, music, video, books, templates, reports, software, or other materials without appropriate rights;
- another client's documents or data without authorization;
- content subject to contractual restrictions that prohibit platform processing;
- content that infringes copyright, trademark, publicity, privacy, trade-secret, or other rights.
FundWisr does not acquire ownership of Customer Content merely because the content is uploaded or processed through the platform.
6. AI-Generated and AI-Assisted Content
AI-generated or AI-assisted output may incorporate:
- user instructions;
- Customer Content;
- FundWisr templates;
- FundWisr proprietary frameworks;
- public or licensed source material;
- generalized model capabilities;
- automated transformations.
The ability to generate or download an output does not guarantee that the output is free of third-party rights.
Customers are responsible for:
- reviewing generated outputs;
- checking source material;
- avoiding unauthorized reproduction;
- obtaining necessary permissions;
- confirming trademark availability;
- conducting appropriate legal review before commercial publication or registration;
- ensuring generated content does not falsely imply an endorsement or affiliation.
FundWisr does not promise that AI-generated names, slogans, logos, reports, documents, or other outputs are unique, registrable, noninfringing, or available for exclusive use.
FundWisr proprietary frameworks, templates, labels, methodologies, and protected platform elements embedded in or associated with an output remain subject to the Terms of Service and applicable ownership rights.
7. Copyright Notices
Copyright notices may appear in the following form:

A notice may include additional owners or licensors where appropriate.
Users must not remove, conceal, alter, or falsify copyright notices, metadata, watermarks, attribution, or rights-management information.
8. FundWisr Trademarks
FundWisr™, FundWisr product names, logos, service names, slogans, icons, and related branding may be trademarks or service marks owned by Mzrik Innovations, LLC or used under license.
Use of ™ or SM indicates a claim of trademark or service-mark rights and does not necessarily indicate federal registration.
The ® symbol may be used only for a mark that has been federally registered and only in connection with the goods or services covered by that registration.
Do not use FundWisr® unless and until an applicable federal registration has issued.
Prohibited trademark uses
Without prior written permission, users may not:
- use a FundWisr mark as part of a company, product, service, app, program, domain, or account name;
- use a confusingly similar spelling, logo, visual identity, or slogan;
- alter FundWisr logos;
- imply sponsorship, endorsement, certification, partnership, or approval;
- place FundWisr branding more prominently than the user's own branding;
- use a FundWisr mark in a disparaging, unlawful, deceptive, or misleading manner;
- use FundWisr trade dress or interface appearance to confuse users;
- register or seek to register FundWisr marks or confusingly similar marks;
- use FundWisr marks on merchandise without a license;
- use a FundWisr badge not issued by FundWisr;
- describe a consultant, reseller, or customer as "FundWisr certified" unless an authorized certification program exists and the user is currently certified.
Permitted referential use
A customer may make truthful, nonmisleading references such as:
"We use FundWisr™ for organizational planning."
The reference must not imply a relationship beyond the actual one and must follow any published brand guidelines.
9. Reporting Copyright Infringement
If you believe material available through FundWisr infringes a copyright you own or are authorized to enforce, send a written notice to FundWisr's designated DMCA agent.
A valid notice should include substantially all of the following:
- A physical or electronic signature of the copyright owner or a person authorized to act for the owner.
- Identification of the copyrighted work claimed to have been infringed or, if multiple works on one online location are covered, a representative list.
- Identification of the material claimed to be infringing, with enough information for FundWisr to locate it.
- Your name, address, telephone number, and email address.
- A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or law.
- A statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act for the owner.

U.S. Copyright Office registration status: Pending. This agent has not yet been submitted to the U.S. Copyright Office's electronic Designated Agent Directory. Until that filing is complete, FundWisr may not be entitled to the DMCA safe-harbor protections that registration provides, even though this contact information is posted here in good faith.
The same agent information must be:
- posted publicly on the FundWisr site;
- submitted to the U.S. Copyright Office's electronic DMCA Designated Agent Directory;
- kept current;
- renewed or refiled as required.
10. What Happens After a Copyright Notice
FundWisr may:
- acknowledge receipt;
- request missing information;
- review whether the notice substantially complies with applicable law;
- remove or disable access to the identified material;
- restrict the user's account or sharing permissions;
- notify the affected user;
- preserve relevant records;
- forward the notice or relevant portions to the affected user;
- provide information required by law;
- reject, close, or decline action on notices that are incomplete, fraudulent, abusive, or outside the policy's scope.
Removal in response to a notice does not mean that FundWisr has decided the underlying legal dispute.
FundWisr may act before receiving a fully compliant notice when necessary to address an apparent violation, protect users, comply with law, enforce the Terms, or reduce risk.
11. Counter-Notification
If material you submitted was removed or disabled because of a copyright notice and you believe the removal resulted from mistake or misidentification, you may submit a counter-notification to the designated DMCA agent.
A counter-notification should include substantially all of the following:
- Your physical or electronic signature.
- Identification of the material removed or disabled and where it appeared before removal.
- A statement under penalty of perjury that you have a good-faith belief the material was removed or disabled because of mistake or misidentification.
- Your name, address, and telephone number.
- A statement consenting to the jurisdiction of the appropriate United States Federal District Court as required by 17 U.S.C. § 512(g).
- A statement that you will accept service of process from the person who submitted the original notice or that person's agent.
FundWisr may send the counter-notification to the original complainant.
Subject to applicable law, FundWisr may restore the material after the statutory waiting period unless the original complainant informs FundWisr that it has filed an action seeking a court order to restrain the user from engaging in the allegedly infringing activity.
FundWisr may decline restoration when the material violates another FundWisr policy or legal requirement even if a counter-notification is submitted.
12. Misrepresentations
Copyright notices and counter-notifications are legal communications.
A person may be liable for knowingly making material misrepresentations in a notice or counter-notification.
Do not submit a copyright complaint merely because:
- you disagree with criticism;
- you dislike a user;
- a fact is unfavorable;
- a logo is used lawfully for identification or commentary;
- content is protected by a license, exception, or other lawful basis;
- the dispute concerns trademark, privacy, contract, defamation, or another issue rather than copyright.
FundWisr may suspend or restrict users who knowingly submit fraudulent or abusive claims.
13. Repeat-Infringer Policy
FundWisr may terminate or restrict accounts of users who repeatedly infringe copyrights or repeatedly violate intellectual-property rights in appropriate circumstances.
FundWisr may consider:
- valid notices received;
- court orders;
- admissions;
- repeat use of the same material;
- counter-notifications;
- retractions;
- findings that notices were abusive or inaccurate;
- the seriousness and frequency of conduct;
- evidence that the user took corrective measures;
- whether multiple accounts were used to evade enforcement.
FundWisr does not use a purely mechanical count when the available record indicates that a notice is fraudulent, withdrawn, mistaken, duplicated, or successfully countered.
FundWisr may take action after a single serious incident when appropriate.
14. Trademark and Brand Complaints
The DMCA process applies to copyright. It does not ordinarily resolve trademark disputes.
To report an alleged trademark violation, send:
- complainant name and contact information;
- identification of the mark;
- registration number and jurisdiction, if registered;
- basis of claimed rights;
- location of the disputed use;
- explanation of likely confusion, deception, affiliation, counterfeit activity, or other harm;
- statement that the report is accurate and submitted in good faith;
- signature of the owner or authorized representative.

- impersonating accounts;
- misleading logos;
- counterfeit offerings;
- confusing domain or profile names;
- false claims of partnership or certification;
- unauthorized badges;
- brand misuse.
FundWisr is not a court and may decline to resolve complex ownership or fair-use disputes without a court order or clearer evidence.
15. Other Intellectual-Property Complaints
For alleged violations involving:
- patents;
- trade secrets;
- rights of publicity;
- confidential information;
- database rights;
- contractual ownership;
- design rights;
- moral rights;
- other proprietary rights,

FundWisr may request a court order, signed agreement, registration, ownership documentation, or other reliable evidence before acting.
16. Impersonation and False Affiliation
Users may not impersonate or falsely imply affiliation with:
- FundWisr;
- Impctrs Management Group;
- Mzrik Innovations;
- AI Arkitech;
- a funder;
- a government agency;
- a foundation;
- an investor;
- a lender;
- a customer;
- a consultant;
- a nonprofit;
- another individual or organization.
A user may not create or use:
- fake "FundWisr approved" badges;
- fake grant-award notices;
- fake funding-source logos;
- fake certifications;
- misleading email addresses;
- confusing support accounts;
- counterfeit documents;
- false board or executive approvals.
17. Privacy and Publication of Complaints
FundWisr may share notices, counter-notifications, and relevant communications with:
- the affected user;
- the complainant;
- legal counsel;
- service providers assisting with processing;
- law enforcement or regulators where required;
- courts or other lawful recipients.
FundWisr should avoid publishing unnecessary personal information. However, legal notices may include information that must be shared to process the dispute.
Do not include sensitive information not necessary for the complaint.
18. No Legal Advice
This Policy explains FundWisr's process and does not provide legal advice.
Submitting a notice does not create an attorney-client relationship with FundWisr, Impctrs Management Group, Mzrik Innovations, or AI Arkitech.
Parties should consult qualified counsel regarding ownership, fair use, licensing, trademark rights, or other legal issues.
19. Changes to This Policy
FundWisr may update this Policy to reflect:
- legal changes;
- Copyright Office requirements;
- platform changes;
- new reporting tools;
- operational experience;
- changes in designated-agent information.
The Policy must display:
- effective date;
- version;
- last updated date.
Material changes should be logged and, where appropriate, communicated to users.
