FundWisr™ Affiliate Commission, Attribution, and Payout Policy
1. Commission Tiers
| Tier | Rate | Approval |
|---|---|---|
| Standard Affiliate | 15% recurring | Manual approval required |
| Strategic Partner | 20% recurring | Enhanced partner-level approval required |
Strategic Partners are generally approved consultants, educators, trainers, coaches, capacity builders, or other partners who actively serve nonprofit and social-impact audiences.
2. Commission Base
Commission is calculated on Eligible Net Subscription Revenue actually received and retained by Impctrs Management Group, LLC from an Eligible Transaction.
The commission base excludes:
- sales, use, value-added, or similar taxes;
- refunds;
- credits;
- chargebacks;
- payment reversals;
- disputed payments;
- fraudulent payments;
- waived amounts;
- noncash credits;
- amounts not actually collected; and
- other categories expressly identified below as noncommissionable.
3. Eligible Paid Subscriptions
Commission applies only to eligible paid FundWisr subscriptions.
No commission is earned merely because a person:
- visits FundWisr;
- submits an application;
- creates a Free Plan account;
- starts a free trial;
- completes a diagnostic;
- joins an email list;
- requests a demo; or
- uses a referral code without completing an eligible paid transaction.
A free or trial user may become commissionable when that user later completes a qualifying paid subscription transaction that remains properly attributable to the Affiliate under the active attribution rules.
4. Noncommissionable Accounts and Transactions
Unless FundWisr expressly approves them in writing, the following are not commissionable:
- Free Plan accounts;
- comped accounts;
- scholarship accounts;
- staff or contractor accounts;
- test, development, QA, demo, or sandbox accounts;
- refunded transactions;
- fully credited transactions;
- fraudulent transactions;
- duplicate subscriptions created to generate commissions;
- self-referrals or related-party purchases structured primarily to generate commission or an unauthorized discount;
- payments later reversed or charged back;
- heavily discounted or manually priced accounts that FundWisr has designated noncommissionable;
- unauthorized reseller transactions;
- transactions created through cookie stuffing, forced clicks, attribution manipulation, spam, prohibited brand bidding, or another prohibited method; and
- any special account or contract that FundWisr identifies in advance as outside the Affiliate Program.
4.1 Heavily discounted or manual accounts
Because prior FundWisr planning expressly excluded certain heavily discounted and manual accounts, a custom-priced, enterprise, sponsored, scholarship, partner, negotiated, or manual subscription is noncommissionable unless the FundWisr administrator affirmatively marks it commissionable in the system of record.
If marked commissionable, the administrator must specify:
- eligible revenue base;
- commission percentage;
- duration;
- applicable customer or contract; and
- approving administrator.
5. Referral Methods
FundWisr may recognize a referral through:
- approved Referral Link;
- approved Referral Code;
- authenticated campaign identifier;
- approved partner code entered at checkout or registration;
- approved manually assigned referral supported by a documented business record; or
- another method FundWisr enables.
Do not alter, obscure, wrap, redirect, or manipulate a Referral Link in a way that interferes with accurate tracking or deceives the user about destination.
6. Attribution Window
Approved attribution window: 90 days from the first eligible Affiliate touch.
Approved attribution priority: First touch. A directly entered valid Referral Code at checkout takes priority over an earlier passive touch.
Basis for the approved rule
The recommendation offered for review was a 60-day window on last touch. FundWisr approved 90 days on first touch instead, for two reasons.
FundWisr is a considered purchase. An executive director or a board frequently sits between the first look and the paid subscription, and 60 days would cut credit on exactly the slow decisions an Affiliate works hardest to influence.
First touch credits the Affiliate who actually reached the customer. Under last touch, somebody who reads an Affiliate's review, thinks about it for a fortnight and then arrives by typing the address into a browser is recorded as organic, which moves credit away from the introduction that caused the purchase.
The window is written once at capture and is not re-derived on later visits. A directly entered Referral Code is the one exception, because entering a code at checkout is a deliberate act by the customer rather than a passive touch.
7. Server Record Controls
FundWisr's authenticated system records control commission attribution.
The minimum attribution record should include:
`text
attribution_id
affiliate_id
affiliate_tier
referral_code
referral_link_id
campaign_id
visitor_or_lead_reference
customer_id
organization_id
subscription_id
source_channel
landing_page
first_referral_at
last_referral_at
attribution_rule_version
attribution_expires_at
attributed_at
manual_override_boolean
manual_override_reason
manual_override_by
created_at
updated_at
`
Do not rely solely on a browser cookie as the legal or financial system of record.
8. Stripe Payment Requirement
A commission should not enter the hold period until FundWisr receives a verified successful payment event from Stripe or another authorized billing processor.
A referral record alone does not create commission.
The commission ledger should reconcile to authoritative subscription and payment records.
9. Thirty-Day Commission Hold
Every commission is subject to a 30-day hold after the associated successful payment is recorded.
Recommended status flow:
`text
tracked
→ payment_received
→ pending_hold
→ held_30_days
→ approved
→ payable
→ paid
`
Exception statuses:
`text
reversed
refunded
chargeback
fraud_review
disputed
forfeited
manual_review
`
No Affiliate should see a held commission labeled “earned,” “guaranteed,” or “payable” before the hold and eligibility review are complete.
10. Refunds and Credits
If a qualifying customer payment is fully refunded before commission approval, the commission is reversed.
If a payment is partially refunded, the commission should be recalculated on the eligible revenue actually retained.
If a refund occurs after the commission was paid, FundWisr may:
- deduct the corresponding amount from future commissions;
- create a negative Affiliate balance;
- request repayment in cases of material overpayment; or
- waive recovery at FundWisr's discretion when the amount is immaterial and there is no fraud.
11. Chargebacks and Payment Disputes
A chargeback, payment reversal, or processor dispute may move a commission to fraud_review, disputed, or reversed status.
If the customer later prevails and the payment is permanently reversed, no commission is due on that payment.
If FundWisr prevails and the payment remains retained, the commission may return to the appropriate hold/approval status after review.
12. Recurring Commissions
For a properly attributed Eligible Customer, recurring commission may apply to each qualifying recurring subscription payment while:
- the customer remains on an eligible paid subscription;
- the payment is successfully received;
- the payment is not otherwise excluded;
- the Affiliate remains active and in good standing; and
- the Affiliate relationship has not been terminated.
A customer cancellation, nonpayment, downgrade to a noncommissionable plan, refund, chargeback, termination, or other disqualifying event stops future commission on affected revenue.
“Recurring” does not create a guaranteed lifetime payment obligation.
13. Upgrades and Downgrades
If an Eligible Customer changes plans, commission is based on the eligible subscription revenue actually collected for the applicable billing period.
If the customer upgrades, commission may increase with the eligible paid amount.
If the customer downgrades, commission decreases with the eligible paid amount.
If the customer moves to a Free Plan or other noncommissionable arrangement, commission stops unless and until a later transaction becomes eligible under the current rules.
14. Discounts and Coupons
For an approved discount or coupon, commission is calculated on the eligible amount actually paid after the discount, excluding taxes and other noncommissionable amounts.
An unauthorized coupon or discount does not create an Affiliate entitlement.
Heavily discounted or manually priced accounts remain subject to Section 4.1.
15. Annual Billing
If FundWisr offers annual subscriptions, commission is calculated on eligible annual subscription revenue actually collected.
The same 30-day hold, refund, chargeback, and eligibility rules apply.
Do not artificially split a single annual payment into twelve monthly commissions unless the billing and commission system expressly defines that treatment.
16. Trials
No commission is earned on a free trial itself.
If the trial converts to an eligible paid subscription and remains attributable to the Affiliate, the first successful paid transaction may enter the 30-day hold.
17. Failed Payments and Dunning
Failed, incomplete, pending, or unpaid invoices do not generate commission.
If Stripe later successfully collects the invoice, the commission hold begins from the successful payment event used by FundWisr's system of record.
18. Customer Reinstatement
If a customer cancels and later returns, attribution follows the then-current attribution rule.
Do not automatically restore a prior Affiliate indefinitely unless the approved attribution policy specifically provides for that treatment.
19. Self-Referrals
Self-referrals and related-party referrals designed primarily to obtain a commission or unauthorized discount are prohibited unless FundWisr provides written approval.
This includes attempts to:
- purchase through one's own link;
- create a second business or personal account to trigger a commission;
- route an internal company purchase through an Affiliate owner or employee merely to generate commission; or
- coordinate reciprocal purchases with another Affiliate.
FundWisr may allow a legitimate Affiliate-owned nonprofit or business to purchase FundWisr, but commission eligibility must be approved separately and documented.
20. Duplicate Referrals
If more than one Affiliate claims the same customer, FundWisr applies the active attribution rule and system records.
FundWisr will not pay duplicate commission on the same subscription payment.
Manual overrides should require:
- documented reason;
- administrator identity;
- timestamp;
- old Affiliate ID;
- new Affiliate ID;
- impacted transactions; and
- approval record.
21. Manual Referral Corrections
FundWisr may correct a referral when reliable evidence shows:
- a technical tracking failure;
- an incorrectly entered code;
- an approved enterprise introduction;
- a migration error;
- an administrator error; or
- another documented exceptional circumstance.
Manual adjustments are not guaranteed and should not override valid tracking merely because an Affiliate believes the customer “belongs” to them.
22. Payout Schedule
Approved payout schedule: Monthly.
The cutoff is the last calendar day of each month. Every commission that has cleared its 30-day hold and been approved by that cutoff is placed in that month's payout batch. Batches are paid within the first ten business days of the following month, which leaves room to complete reconciliation, refund and chargeback review, and tax and payment checks before money moves.
A commission that clears its hold after the cutoff falls into the next month's batch. Because the hold is 30 days, an Affiliate should expect a payment roughly one to two months after the customer payment it relates to, depending on where in the month that payment landed.
Payouts at launch are prepared by the system and released manually. Nothing leaves FundWisr on an automatic schedule without an administrator approving the batch (Section 27).
23. Minimum Payout Threshold
Minimum payout threshold: $50.00 USD.
A balance below $50.00 at a monthly cutoff is not paid that month. It rolls forward and is added to the next month's batch, and it keeps rolling forward until the balance reaches the threshold.
A balance below the threshold is not forfeited. It remains owed to the Affiliate and is displayed on the Affiliate dashboard as a carried-forward balance, alongside the threshold itself, so the reason a payment did not arrive is visible without asking.
On termination of the Affiliate relationship for any reason other than fraud or material breach, any remaining approved balance is paid in full in the final batch regardless of the threshold, and the final statement documents it (Section 30). The threshold governs the timing of payment, never entitlement to it.
24. Payout Information
The Affiliate is responsible for maintaining accurate payout information.
FundWisr may require:
- legal name;
- business name;
- mailing address;
- email;
- taxpayer identification information;
- W-9 or W-8 status;
- approved payment destination; and
- identity or business verification.
FundWisr may place payment on hold when information is incomplete or inconsistent.
25. Taxes and Information Reporting
Affiliate commissions may be taxable income.
FundWisr may require tax forms and issue information returns in accordance with applicable law.
The Agreement should not hard-code a tax-reporting threshold because thresholds can change. The operational tax process should be updated annually before year-end reporting.
26. Commission Statements
The Affiliate dashboard or statement should show, at minimum:
- statement period;
- Affiliate ID;
- tier and rate;
- tracked referral count;
- eligible customer reference;
- payment date;
- eligible revenue amount;
- commission amount;
- commission status;
- hold release date;
- refund/reversal status;
- adjustments;
- prior balance;
- payout amount;
- payout date;
- payment reference; and
- current balance.
Do not expose unnecessary customer personal information.
27. Payout Approval Controls
No single administrator should be able to invisibly modify attribution and approve the resulting payout without an audit record.
For material manual adjustments, use dual-control or secondary approval where practicable.
Every payout batch should reconcile:
`text
commission ledger
↔ eligible Stripe payments
↔ refund/chargeback status
↔ Affiliate status
↔ tax/payment readiness
↔ payout record
`
28. Commission Disputes
Affiliates should report a suspected commission or attribution error within 60 days after the relevant statement or transaction becomes visible.
The dispute record should include:
`text
dispute_id
affiliate_id
transaction_reference
subscription_reference
disputed_amount
reason
supporting_evidence
opened_at
assigned_admin
status
resolution
adjustment_id
resolved_at
`
29. Suspension and Fraud Review
FundWisr may pause payout during a good-faith investigation of:
- suspected fraud;
- self-referral abuse;
- unusual chargebacks;
- traffic manipulation;
- prohibited paid search;
- spam complaints;
- fake accounts;
- coupon abuse;
- identity mismatch;
- tax mismatch; or
- another material Program violation.
A compliance hold should be documented with a reason and status.
30. Termination and Final Commissions
When an Affiliate relationship ends:
- new future payments after termination are not commissionable unless FundWisr expressly agrees otherwise;
- transactions completed before termination may proceed through the normal 30-day hold and review;
- commissions tied to fraud or material breach may be reversed or forfeited to the extent permitted by law;
- refunds and chargebacks may still create offsets; and
- the final statement should document any remaining balance, adjustments, and final payout.
31. Required Technical Integration
The FundWisr Affiliate Program was previously planned to use the existing FundWisr stack rather than introducing an unnecessary additional platform.

32. Required Webhook Logic
At minimum, the commission engine should reconcile payment and subscription events sufficient to determine:
- successful payment;
- failed payment;
- refund;
- chargeback/dispute;
- subscription cancellation;
- subscription plan change; and
- payment reversal.
All processor webhook signatures must be verified server-side before financial records are updated.

- who changed commission status;
- why a commission was reversed;
- who approved payout;
- policy version used;
- Agreement version accepted; and
- relevant timestamps.
Financial and legal records should be retained according to FundWisr's applicable legal, accounting, tax, and security retention rules.
